Sample Agreement
Version 2026-10-24
Sample for legal review. Not a live agreement. Not signed.
All business names, addresses, company numbers, commercial values and acceptance examples below are fictional. This page cannot be used to sign or accept an agreement.
How the two workspaces use this agreement
In Growth, the Client issues the agreement to its referral partner, the Introducer. In Income, the Introducer issues the agreement to its client partner, the Client. In either direction, the Client receives the referred business and pays the agreed fee to the Introducer. BMS provides the platform and is not automatically a party to the customers' agreement.
The agreement below comes directly from the app's Word-document generator, using fictional details. The online signing page displays the same stored Word document wording, rather than a shortened version. Review notes and the illustrative acceptance record are separate from the agreement. This sample does not amend customer records.

BETWEEN:
Example Growth Business Ltd (fictional), a company incorporated in England and Wales (Company No. 00000000 (fictional)) whose registered office is at 1 Example Street, Exampletown (fictional address) (the Client); and
Example Referral Business Ltd (fictional), a company incorporated in England and Wales (Company No. 00000000 (fictional)) whose registered office is at 1 Example Street, Exampletown (fictional address) (the Introducer).
The Client and the Introducer are together referred to as the Parties, and each a Party.
Definitions and Roles
Introducer means the party named as the Introducer above. The Introducer is the organisation using the system to create and manage this Agreement and to make introductions for the Client.
Client means the party named as the Client above. The Client appoints the Introducer to find or introduce business opportunities and is responsible for paying the Introduction Fee where an Effective Introduction is made.
Introducee means a third party, prospect, customer, client, or commercial opportunity introduced by the Introducer to the Client. The Introducee is not a party to this Agreement.
1. Appointment and Scope
1.1 The Client appoints the Introducer on a non exclusive basis to identify and introduce potential customers, clients, prospects, or commercial opportunities (Introducees) to the Client.
1.2 This Agreement does not create any relationship of principal and agent, partnership, joint venture, or employment. The Introducer has no authority to negotiate prices, agree terms, make representations, or bind the Client in any way.
2. Introduction Process and Existing Pipeline
2.1 An Effective Introduction occurs where:
the Introducer intentionally and directly introduces an Introducee to the Client by providing the Introducee’s contact details; and
the Introducee enters into a contract, paid engagement, or commercial relationship with the Client within the Introduction Protection Period.
2.2 An introduction shall not constitute an Effective Introduction where the Introducee’s details are publicly available, obtained unlawfully, or disclosed in breach of any third party agreement.
2.3 Existing Pipeline Carve out: The Client shall not be liable to pay an Introduction Fee where it notifies the Introducer within the Introduction Rejection Period that the Introducee is already:
an existing client or customer of the Client; or
actively engaged in the Client’s sales pipeline prior to the introduction.
Notification may be given by email.
3. Fees and Payment
3.1 The Client shall pay the Introduction Fee to the Introducer for each Effective Introduction in accordance with the Key Terms.
3.2 Net Revenue means the net revenue actually received and retained by the Client from the Introducee, excluding VAT, refunds, chargebacks, credits, shipping costs, and third party disbursements, unless otherwise stated in the Key Terms.
3.3 All fees are exclusive of VAT. Where the Introducer is VAT registered, a valid VAT invoice must be provided.
3.4 Payment Trigger: Fees shall become due only once the Client has received cleared funds from the Introducee and shall be paid within the period specified in the Key Terms.
3.5 Where revenue is refunded or reversed after payment of an Introduction Fee, the Client may deduct the corresponding amount from future payments.
3.6 Upon reasonable request, the Client shall provide a summary of revenue received in respect of Effective Introductions for verification purposes.
4. Non Circumvention
4.1 During the Non Circumvention Period, the Client shall not seek to avoid payment of the Introduction Fee by directly or indirectly contracting with an Introducee introduced by the Introducer other than in accordance with this Agreement.
4.2 If the Client breaches this clause, the full Introduction Fee that would have been payable shall become immediately due and payable.
5. Compliance, Confidentiality, and Data Protection
5.1 Each Party shall comply with all applicable laws and regulations, including the Bribery Act 2010 and the Data Protection Act 2018 and UK GDPR.
5.2 The Introducer warrants that it has obtained all necessary rights and consents to share the Introducee’s contact details with the Client.
5.3 Confidentiality: Each Party shall keep confidential all non public, confidential, or commercially sensitive information received from the other Party and shall not disclose such information except as required to perform this Agreement or as required by law.
5.4 Confidentiality obligations shall survive termination of this Agreement for 2 years.
6. Status, Tax, and Insurance
6.1 The Introducer acts as an independent contractor and is responsible for all taxes, national insurance contributions, insurance, and regulatory obligations applicable to it.
6.2 Nothing in this Agreement shall render the Introducer an employee, worker, agent, or partner of the Client.
7. Limitation of Liability
7.1 The Client gives no guarantee that any introduction will result in a contract or generate revenue.
7.2 Neither Party shall be liable for any indirect, special, or consequential loss.
7.3 Each Party’s total liability arising under or in connection with this Agreement shall be limited to the Liability Cap set out in the Key Terms.
8. Non Solicitation
8.1 During the term of this Agreement and for 12 months following termination, the Introducer shall not knowingly solicit or entice away any employee or contractor of the Client with whom it has had dealings in connection with this Agreement.
9. Termination
9.1 Either Party may terminate this Agreement by giving the Notice Period in writing.
9.2 Termination shall not affect the Introducer’s right to receive Introduction Fees in respect of Effective Introductions made prior to the termination date, and the Introduction Protection Period shall continue to apply to such Introducees.
9.3 No new introductions shall qualify as Effective Introductions following termination.
10. General
10.1 Third Party Rights: No term of this Agreement shall be enforceable by a third party under the Contracts (Rights of Third Parties) Act 1999.
10.2 Governing Law and Jurisdiction: This Agreement is governed by the laws of England and Wales and the Parties submit to the exclusive jurisdiction of the English courts.
